1. Acceptance of Terms
By accessing or using wheeling.com and any related services
(collectively, the "Service") provided by Wheeling Software
("Wheeling", "we", "us", or "our"), you agree to be bound by
these Terms of Service ("Terms"). If you do not agree to these
Terms, you must not use the Service.
We reserve the right to update these Terms at any time. Material
changes will be communicated by updating the "Last updated" date
above. Continued use of the Service after changes take effect
constitutes your acceptance of the revised Terms.
2. Description of Service
Wheeling provides a web-based random name picker and spinning
wheel tool that allows users to conduct fair, transparent draws
for giveaways, classrooms, raffles, live streams, and similar
events. Features include saving participant lists, storing draw
history, and sharing results via link.
We may modify, suspend, or discontinue any part of the Service
at any time without notice. We are not liable to you or any third
party for any such modification, suspension, or discontinuation.
3. Eligibility
You must be at least 13 years of age to use the Service. If you
are under 18, you represent that you have your parent's or legal
guardian's permission to use the Service and that they have read
and agreed to these Terms on your behalf.
By creating an account, you represent and warrant that all
information you provide is accurate, current, and complete, and
that you will keep it up to date.
4. User Accounts
You are responsible for maintaining the confidentiality of your
account credentials and for all activity that occurs under your
account. You agree to notify us immediately at
support@wheeling.com
if you suspect any unauthorised access to your account.
We reserve the right to suspend or terminate accounts that
violate these Terms, engage in fraudulent activity, or remain
inactive for an extended period, with or without notice.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, national, or international law or regulation
- Upload, transmit, or distribute content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Attempt to gain unauthorised access to any part of the Service or its related systems
- Introduce viruses, malware, or any other malicious code
- Scrape, crawl, or otherwise systematically extract data from the Service without our prior written consent
- Use the Service in any manner that could damage, disable, overburden, or impair its infrastructure
We reserve the right to investigate and take appropriate legal
action against any violation of this section.
6. Intellectual Property
All content, design, graphics, logos, software, and other
materials on the Service are owned by or licensed to Wheeling
Software and are protected by applicable intellectual property
laws. You are granted a limited, non-exclusive, non-transferable,
revocable licence to access and use the Service solely for its
intended personal, non-commercial purpose.
You may not copy, modify, distribute, sell, or create derivative
works from any part of the Service without our express written
permission.
7. User Content
You retain ownership of any content you upload or create within
the Service, such as participant lists and draw configurations
("User Content"). By submitting User Content, you grant Wheeling
a limited, worldwide, royalty-free licence to store and process
that content solely to provide and improve the Service.
You represent and warrant that you have all necessary rights to
the User Content you submit, and that it does not infringe the
intellectual property or privacy rights of any third party.
8. Free and Paid Features
The Service is currently offered free of charge. We reserve the
right to introduce paid plans or premium features in the future.
Any changes to pricing will be communicated in advance and will
not apply retroactively to existing free-tier usage.
9. Privacy
Your use of the Service is also governed by our
Privacy Policy and
Cookie Policy, which
are incorporated into these Terms by reference.
10. Disclaimers
The Service is provided on an "as is" and "as available" basis
without warranties of any kind, either express or implied,
including but not limited to warranties of merchantability,
fitness for a particular purpose, or non-infringement.
We do not warrant that the Service will be uninterrupted,
error-free, or free of viruses or other harmful components. The
results produced by the Service (including random draws) are
provided for general use and we make no guarantees as to their
suitability for any specific purpose, including legally binding
draws or competitions.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Wheeling
Software shall not be liable for any indirect, incidental,
special, consequential, or punitive damages — including loss of
profits, data, or goodwill — arising out of or in connection with
your use of, or inability to use, the Service, even if we have
been advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising under
these Terms shall not exceed the greater of (a) the amount you
paid us in the twelve months preceding the claim, or (b) USD
$100.
12. Indemnification
You agree to indemnify, defend, and hold harmless Wheeling
Software and its officers, directors, employees, and agents from
and against any claims, liabilities, damages, losses, and
expenses (including reasonable legal fees) arising out of or
related to your use of the Service, your User Content, or your
violation of these Terms.
13. Governing Law and Disputes
These Terms are governed by and construed in accordance with the
laws of the State of Delaware, United States, without regard to
its conflict of law provisions. Any dispute arising from these
Terms or your use of the Service shall be resolved exclusively
through binding arbitration in accordance with the rules of the
American Arbitration Association, except that either party may
seek injunctive relief in a court of competent jurisdiction to
prevent irreparable harm.
14. Termination
You may stop using the Service and delete your account at any
time. We may terminate or suspend your access immediately,
without prior notice, if we believe you have violated these
Terms. Upon termination, all licences granted to you under these
Terms will immediately cease, and you must stop using the
Service.
